What is a SAFE?
A SAFE (Simple Agreement for Future Equity) is the most common way to invest in an early-stage startup today. Think of it as a reservation — you put in money now, and when Olilo raises its next big round (or gets acquired), your investment automatically converts into equity at a better price than later investors get.
Unlike a loan, there's no interest and no repayment deadline. You're not lending us money — you're getting a guaranteed seat at the table for the next round, at a discount.
We're raising $300K on a $4M valuation cap SAFE. No matter how much Olilo is worth when we raise our Series A, your investment converts as if the company was valued at $4M or less. The earlier you invest, the better that deal typically is.
Is my money safe?
Early-stage investing carries real risk — there are no guarantees. But a SAFE is a well-established, standard instrument used by thousands of startups backed by top investors.
When do I get equity?
When Olilo raises a priced round (like a Series A), gets acquired, or goes public. At that point your SAFE converts to shares automatically — you don't have to do anything.
What's the 20% discount for?
As an early believer, you get to buy shares at a 20% lower price than investors in the next round. It's our way of rewarding you for taking the early risk.
How popular is this structure?
SAFEs were invented by Y Combinator in 2013 and have since been used by over 100,000 startups worldwide. Airbnb, Dropbox, and DoorDash all used SAFEs in their earliest rounds.
What does MFN Clause mean?
MFN stands for Most Favored Nation. It means if we offer a better deal to any future SAFE investor — a lower cap, a bigger discount — you automatically get those better terms too. It's a promise that you'll never be treated worse than anyone who comes after you.
